Terms of Use

These Terms of Use (“Terms”) govern access to readility.health and the Readility readiness screener (the “Service”), operated by Readility [entity designation added at formation] (“Readility,” “we”).

By clicking “Run the free assessment,” submitting your email, or otherwise using the Service, you agree to these Terms and to the Privacy Notice. If you do not agree, do not use the Service.

1The Service

The Service provides a free, self-serve organizational readiness screener for healthcare interoperability and AI readiness. Output consists of a descriptive readiness band and suggested areas to address. The Service is informational and directional only.

2What the Service is not

The Service does not certify, attest, warrant, or assure compliance with CMS requirements (including CMS-0057-F), HIPAA, or any law, regulation, or standard. Output is not legal, medical, compliance, or professional advice, and no professional-client relationship is created. You are solely responsible for your organization’s compliance decisions.

3Business use; eligibility

The Service is offered for business use by organizations, not consumers. You represent that you are at least 18, are using a work email address, and are authorized to submit information on behalf of the organization you identify.

4Prohibited inputs — no PHI

You must not submit protected health information (PHI), patient records, or any individually identifiable health information to the Service. The Service is designed and intended to operate entirely without PHI; no Business Associate Agreement is offered or created. We may filter, reject, or delete suspected PHI and may suspend access for violations.

5Your submissions; benchmark data rights

You retain ownership of the organizational information you submit. You grant Readility a license to use submissions to (a) operate the Service and deliver your results, and (b) create and publish aggregated, anonymized statistics, benchmarks, and research that do not identify your organization. Screener (free-tier) submissions are not included in Readility’s verified benchmark dataset.

6Intellectual property

The Service — including the assessment instrument, scoring methodology, bands, site design, and marks — is Readility’s proprietary property. We grant you a limited, revocable, non-exclusive license to use your own results for internal business purposes. You may not reproduce the instrument, publish or resell results as a certification, or state or imply that Readility has certified or endorsed your organization.

8Availability; changes

The Service is provided free and may be modified, suspended, or discontinued at any time. We may update these Terms; continued use after posting constitutes acceptance. Material changes will be dated at the top of this page.

9Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. READINESS BANDS ARE DIRECTIONAL ESTIMATES BASED SOLELY ON INFORMATION YOU SUPPLY.

10Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, READILITY’S TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100), AND READILITY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL.

11Indemnity

You will indemnify Readility against third-party claims arising from your breach of Sections 3, 4, or 7, including any submission of PHI in violation of these Terms.

12Governing law; venue

These Terms are governed by the laws of [State], without regard to conflict-of-laws rules, with exclusive venue in [County, State].
